These Terms & Conditions ("Terms") govern access to and use of the Loadu platform at loadumarket.com and app.loadumarket.com (the "Platform"), operated by Loadu Marketplace Limited ("Loadu", "we", "us", "our"). By creating an account or using the Platform, you agree to these Terms on behalf of the business you represent.
1. Definitions
● "Buyer" — a verified commercial entity (restaurant, café, hotel, guesthouse, catering company, hospital, school, corporate cafeteria, or other institutional kitchen) approved to purchase inventory on the Platform.
● "Seller" — a verified distributor, supermarket, wholesaler, or farmer approved to list inventory on the Platform.
● "Listing" — an item of surplus, close-dated, or slow-moving inventory posted by a Seller, including quantity, asking price, freshness/expiry window, and pickup location.
● "Order" — a Buyer's request to purchase a Listing, from placement through fulfilment or cancellation.
● "Platform Price" — the price shown to a Buyer, comprising the Seller's asking price plus Loadu's margin.
● "Fulfilment" — the transfer of goods from Seller to Buyer, by pickup (the default method) or an agreed delivery arrangement.
2. Account Eligibility
Accounts are available only to verified commercial entities operating lawfully in Jamaica. By registering, you confirm that:
● You are at least 18 years old and legally authorised to bind the business you represent.
● The business information you submit is accurate, current, and complete.
● You hold the appropriate business registration and, where applicable, sector licences (e.g. Parish Public Health Food Establishment Permit, Jamaica Tourist Board licence, Ministry of Education or Ministry of Health registration).
Loadu does not offer accounts to individual consumers or to the general public. The Platform is closed — listings and pricing are visible only to verified, approved accounts.
3. Verification Process
All Buyer and Seller applications are subject to Loadu's Verification Protocol, which may include callback verification against a publicly listed business number, a scheduled video walkthrough of business premises, a sales representative site visit, or document checks (e.g. TRN, COJ or business name registration, RADA registration for farmers, sector permits). Loadu may request additional documents or a further check at any time, including after approval, and may suspend an account pending re-verification.
4. Buyer Obligations
● Provide accurate business, contact, and payment information, and keep it up to date.
● Submit and maintain valid supporting documents required for your buyer category.
● Pay the Platform Price in full, using an approved payment method, before pickup or delivery details are released.
● Collect Orders within the agreed pickup window, or arrange delivery where offered, and inspect goods promptly upon receipt.
● Use Listing and Seller information obtained through the Platform only for the purpose of completing the relevant Order.
5. Seller Obligations
● List inventory accurately — product, quantity, condition, freshness/expiry date, and asking price must be true and current.
● Maintain applicable food safety, health, and business licensing requirements for all listed goods.
● Honour the asking price and quantity stated in a Listing once an Order is confirmed.
● Make goods available for collection (or agreed delivery) within the stated fulfilment window.
● Not attempt to identify, contact, or solicit a Buyer, or vice versa, to complete a transaction outside the Platform.
6. Platform Role
Loadu acts solely as an intermediary connecting Buyers and Sellers and as the payment intermediary for transactions conducted through the Platform. Loadu is not the seller of record, does not take title to or possession of any goods, and does not guarantee the quality, safety, legality, or fitness of any Listing beyond the checks described in the Verification Protocol. The contract for the sale of goods is between Buyer and Seller; Loadu's role is limited to facilitation, payment handling, and the discretion mechanism described in Section 7.
7. Pricing and Payment
The Platform Price shown to a Buyer includes the Seller's asking price plus a margin retained by Loadu. The margin is not itemised or disclosed to the Buyer as a separate line; the Buyer sees and pays a single Platform Price. Seller identity and asking price are withheld from the Buyer until payment has cleared, consistent with the discretion mechanism described in Loadu's seller-facing materials.
● Buyers pay the full Platform Price via an approved payment method (e.g. Lynk, bank transfer) before pickup or delivery details are released.
● Loadu remits the Seller's asking price to the Seller upon confirmed Fulfilment.
● Loadu may adjust its margin by category from time to time; changes apply to Listings posted after the change takes effect.
8. Order Lifecycle
Orders move through the following statuses: Pending (order placed, awaiting confirmation), Paid (Buyer payment received), Fulfilled (goods collected or delivered), Completed (Order closed, Seller remitted), and Cancelled (Order terminated before Fulfilment, per Section 9).
9. Cancellation and Refunds
Either party may request cancellation of an Order before payment is confirmed. Once an Order is marked Paid, cancellation and refund requests are reviewed by Loadu on a case-by-case basis, taking into account the reason for cancellation, the status of the goods, and whether Fulfilment has already occurred. Loadu will communicate the outcome of a refund request to both parties and, where a refund is approved, process it using the original payment method within a reasonable time.
10. Ratings and Disputes
Buyers may rate Sellers following Fulfilment on product quality against the Listing description and fulfilment speed. Loadu may deprioritise or flag Listings from consistently low-rated Sellers. Where a Buyer disputes the condition or accuracy of goods received against a Listing, the Buyer should report the issue to Loadu within a reasonable time of collection; Loadu will review the matter, which may include contacting both parties, before determining an outcome, including a possible refund under Section 9.
11. Prohibited Conduct
● Submitting false, misleading, or fraudulent business, identity, or product information.
● Attempting to circumvent the Platform by transacting directly with a counterparty introduced through Loadu, or by soliciting such off-platform transactions.
● Manipulating ratings, reviews, or Listing visibility.
● Uploading content that infringes another party's intellectual property or is unlawful, defamatory, or deceptive.
● Interfering with the security, integrity, or normal operation of the Platform.
Loadu reserves the right to investigate suspected violations and to suspend or terminate accounts under Section 14.
12. Confidentiality
Seller identity, asking prices, and other non-public business information exchanged through the Platform are confidential. Buyers and Sellers agree not to disclose confidential information obtained through the Platform to third parties, or use it for any purpose other than completing the relevant Order, except where disclosure is required by law.
13. Intellectual Property
The Platform, including its software, design, branding, and underlying technology, is owned by Loadu or its licensors and is protected by applicable intellectual property law. Users retain ownership of content they submit (e.g. product photos, descriptions) but grant Loadu a licence to use, display, and process that content for the purpose of operating the Platform, including AI-assisted categorisation, quality grading, and demand matching.
The Platform's AI features (including product extraction, quality grading, and demand prediction) are provided as an aid to listing and discovery. Loadu does not guarantee the accuracy, completeness, or reliability of AI-generated output, and Buyers and Sellers remain responsible for verifying listing details before relying on them.
14. Limitation of Liability
To the fullest extent permitted by law, Loadu's role is limited to facilitating transactions and payment between Buyers and Sellers. Loadu is not liable for the quality, safety, legality, or condition of goods listed by Sellers, for a party's failure to perform its obligations, or for indirect, incidental, or consequential losses arising from use of the Platform. Loadu's total liability arising out of or relating to a given Order will not exceed the Platform Price paid for that Order.
15. Indemnification
You agree to indemnify and hold Loadu harmless from claims, losses, damages, and expenses (including reasonable legal costs) arising from your breach of these Terms, your use of the Platform, or the goods you list or purchase through it, except to the extent caused by Loadu's own breach or negligence.
16. Termination and Account Suspension
Loadu may suspend or terminate an account, with or without notice, where there is reasonable cause to believe these Terms have been breached, verification cannot be confirmed or maintained, or continued access poses a risk to the Platform or its users. A Buyer or Seller may close their account at any time by written request to Loadu, subject to completion of any Orders already in progress.
17. Governing Law
These Terms are governed by the laws of Jamaica, without regard to conflict-of-law principles.
18. Dispute Resolution
If a dispute arises between a party and Loadu under these Terms, the parties will first attempt to resolve it through good-faith mediation in Jamaica. If mediation does not resolve the dispute within a reasonable period, either party may bring the matter before the courts of Jamaica, which have exclusive jurisdiction over any dispute not resolved through mediation.
19. Amendments to These Terms
Loadu may update these Terms from time to time. Material changes will be notified to users through the Platform or by email in advance of taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
